All services are provided by iDesire Galaxy Ecommerce Pvt Ltd through its platform brand name ‘iDesire Galaxy’. All the rights, benefits, liabilities and obligations under the below-mentioned terms and conditions, henceforth, shall accrue to the benefit of iDesire Galaxy Ecommerce Pvt Ltd (together with its subsidiaries and affiliates including ‘Us’, ‘We’, and iDesire Galaxy) in regard to the services mentioned on our website including purchase of prepaid SIM, postpaid SIM, Dongle, DTH, Broadband, MNP or hardware devices like mobile devices, accessories and other services that may be added from time to time. All the mentioned services will be collectively referred to as service or services, as the case may be. When you use our services you agree to adhere to the terms and conditions set forth below including relevant policies. iDesire Galaxy reserves the right, at its sole discretion, to revise, add, or delete portions of the terms and conditions from time to time without notice. As a responsible client, you shall re-visit the ‘Terms and Conditions’ page to stay updated with the changes that may be introduced on the website. Competency Our iDesire Galaxy services are available to persons above 18 years of age. By accepting our terms and conditions or by otherwise using the services of this website, you represent that you have completed at least 18 years of age. It is your sole responsibility to provide the correct age proof and on this basis you have the right and authority to enter into this agreement. You agree to read, understand and agree to all the terms and conditions of this agreement. You shall not impersonate any other person or entity. You shall, in no manner whatsoever, falsely misrepresent your identity, age or affiliation with other individuals or entity.      iDesire Galaxy SIM Selling Module iDesire Galaxy is a reseller only. We do not provide mobile services. We resell prepaid and postpaid SIM, new SIM, Dongle of telecommunication service providers (telco/telcos) or their distributors or aggregators. iDesire Galaxy does not provide warranty, insurance or guarantee of the services provided by these companies. The SIM/Dongle/DTH/Broadband/other products are sold without recourse against us for any breach of contract by the telcos. If you have any dispute regarding the SIM, service quality, cost or any other terms of the purchased service, it must be handled directly between you (in whosoever name it is purchased) and the concerned telco. Order and Payments You may need to access the World Wide Web to use our services, either directly or indirectly, and pay any service fees related to the access. This access requires that you have all the necessary equipment to make connections to the World Wide Web, including a computer, mobile device, modem or its other associated devices. iDesire Galaxy and its business partners reserve the right to charge and recover fees from the user for availing its services. These shall be levied from the time you are posted to our website or our business partner’s channel through the availed services. It is solely your responsibility to visit our website or our business partner’s website through which you are availing the service so as to review the current or changed fees. In the event of a payment reversal, iDesire Galaxy has the right to recover any further charges that you are liable to pay or may incur. These charges shall be recovered from your payment account or in any other manner that is decided by iDesire Galaxy. Depending on the iDesire Galaxy business partner through whom you have availed the service,

• Some specific service features may differ
• The payment accounts may differ
• The service accessible modes/devices may differ
• The charges for availing the service may differ
• The number of payees available over the service may differ

The specific details would be made available in the iDesire Galaxy website or the business partner channel through which the service is being availed.    iDesire Galaxy reserves the right to add or delete payment account list types that is used to make payments to a biller. In any event,

• the type of payment accounts may differ for each biller based on the specifications
• certain payment accounts may charge additional fees/charge in respect to a biller
• the terms of payment to the biller may differ based on whether a card or bank account is used to issue the payment instruction.

   The payment to a biller can be made either by scheduling an automated debit to a payment account or issuing a payment instruction to a payment account for an online debit. When you use the bill payment service, you agree to the following-

• You will provide true, current and complete information about yourself, the payment account details and the biller details.
• You will maintain and update the registration data, payment data, and biller data immediately with true and complete details.

  If you provide false or incomplete information or if we suspect your information to be inaccurate or incomplete, we have the right to suspend and terminate your account. We shall refuse all current and future services (or any portion thereof). iDesire Galaxy shall have no responsibility and is not liable if it is unable to affect the payment instructions on the payment date due to any of the below circumstances-

• If there is no adequate funds in the payment account for the amount mentioned in the payment instructions
• If you have provided incomplete, inaccurate or delayed payment instructions
• If the payment instruction is delayed by the bank
• If the funds in the payment account are not accessible
• If the biller does not process the payment under receipt
• Circumstances that cannot be controlled by iDesire Galaxy (including, but not limited to, natural disasters, bank strikes, system failure or an unforeseeable cause)

You will be intimated about the failed payment through email. Communication Policy

1. iDesire Galaxy may send alerts to the customer on the mobile phone number provided by them while registering for the service. The alerts in the form of SMS will be received (sometimes, delayed due to network issues or any other) only when the mobile is in ‘ON’ mode. If the mobile is ‘OFF’, the customer may not receive it until the device is switched ‘ON’.   
2. iDesire Galaxy makes its best efforts to provide regular service to customers. But, we are under no obligation to confirm the authenticity of the person(s) receiving the alert. Under any circumstances, it shall be deemed that the customer has received the alert sent by iDesire Galaxy during the course of its service. The customer cannot hold iDesire Galaxy responsible for non-availability of the service in any manner whatsoever.
3. The SMS service by iDesire Galaxy is an additional service provided for customer convenience and it may be susceptible to errors and inaccuracies. If the customer observes any error in the alert notification, it is to be brought under the notice of iDesire Galaxy immediately. We will make the best possible efforts to correct the error as soon as possible. We will not be held responsible or we shall not be liable to any loss, damage, claim, or expense including legal costs that the customer may have suffered due to the account of inaccurate SMS notification.
4. The customer has to acknowledge that the accuracy and promptness of the service depend on many factors including the infrastructure and network of the service provider. We are not responsible for any non-delivery, delayed delivery, distortion of the alert, or wrong interpretation of the message by the reader, in any way whatsoever.
5. The customer agrees to indemnify and hold iDesire Galaxy (including its SMS service provider and officials) harmless from any damages, demands, claims, loss, cuts, proceedings, charges, and expenses whatsoever including the legal and attorney charges which may incur as a consequence of

• Misuse, improper or false information provided by the customer
• The customer providing an incorrect number that does not belong to him.

1.  iDesire Galaxy may send information to the customer perceived on their interests based on usage history through SMS, email or phone call. The information may be in the form of offers, discounts or any other service-related information. If the customer does not wish to receive any such information, they have to explicitly state their inclusion through email, SMS, or a written letter.
2. The customer acknowledges that iDesire Galaxy may call the phone number provided by the customer while registering for the service, for providing information regarding the schemes and offers, or for collecting feedback regarding our services.

Use of Site You acknowledge that iDesire Galaxy does not operate, control or endorse any information, products, or services on the Internet in any way. If we do provide any such information from our end, it will be clearly indicated to you as being supplied from us. iDesire Galaxy does not guarantee that files available for download through the site will be free from viruses or any other malware. The customer will be responsible for implementing procedures at their end to safeguard their device from malware that may enter through the downloaded file/content. Information Collection iDesire Galaxy may have access to your mobile number and address that comes under the purview of ‘Personally Identifiable Information’. In addition, it may have to collect some information concerning you and your mobile device that helps us better our customer services.  Some of the information collected by iDesire Galaxy will be as follows: User-Provided Information: You may have to provide some ‘Personally Identifiable Information’ such as your mobile number, name, and mobile device information to iDesire Galaxy when you choose to participate in our services such as registration of users, messaging us or uploading images. iDesire Galaxy shall periodically access your location on your mobile phone to ensure a better customer experience. Cookies Information: iDesire Galaxy may send one or more cookies to your computer when you visit our site. These are harmless small text files containing a string of alphanumeric characters. iDesire Galaxy uses both session cookies and persistent cookies. When you use our web application, the servers log certain information whenever is message is sent or received. iDesire Galaxy may receive data when you connect to some other website through us (when you visit an external link from iDesire Galaxy)such as date and time of website visit, IP address and the web address. If the recipient is messaged through the iDesire Galaxy application, it is delivered via the data service routed through our servers. Undelivered messages, if any, are stored on our servers until they can be delivered or for a period of 30 days, whichever is earlier. iDesire Galaxy may collect the date and time stamp information for delivered messages as well as other information that we are legally compelled to collect as per the retention policies applicable under Indian law. Use of Information We neither share or sell information to other entities without your consent. The ‘Personally Identifiable Information’ sharing is governed by GDPR laws. Your mobile number, address book and other information that is collected by us for commercial, advertising and marketing purposes shall not be used without your consent. Even if you have agreed for information sharing for a specific promotion you can choose to opt-out in future. iDesire Galaxy may share your Personally Identifiable Information and contents only till the extent to deliver services as desired by you. It may also be used to maintain, develop or improve our application to ensure functionality and security of our services and to prevent or investigate any cases of fraud and misuse. iDesire Galaxy may share non-personally-identifiable-information such as user data usage, platform types, number of clicks, etc, with other parties for better understanding of customer preferences, their activities, promotions, advertisements, services and/or functionality related to iDesire Galaxy application. We may use the content collected from log file information and cookies to

• Provide customized content and information
•  Analyze individual and aggregate metrics
• Track your entries, submissions, and views.

iDesire Galaxy may choose to disclose your personal information and as required pursuant to applicable laws, a directive or order of a government entity or statutory authority or any regulatory or judicial authority or to law enforcement agencies in any official investigation including but not limited to cyber crimes, punishment, and prosecution of offenses. iDesire Galaxy has the right to electronically monitor and disclose information from time to time as may be necessary to satisfy any law, regulation or other governmental request, to operate the application properly for justified purposes that are relevant for the features and functionality of the app and other related services opted by you, or to protect our app and its subscribers. We may transfer your Personally Identifiable Information or other collected, stored, or processed information by iDesire Galaxy to any other entity located within India or outside only in case it is necessary to provide services to you in connection with our app. Except with your consent including under this agreement for specified purposes, iDesire Galaxy shall not disclose any Personally Identifiable Information to any third party. We will cooperate with the concerned enforcement agencies in investigating claims of illegal activity. If you choose to opt-out of submitting your ‘Personally Identifiable Information’ to iDesire Galaxy, you may not be able to get the full benefits of our website and services. If you do not agree with our terms and conditions including our privacy policy, you may delete your account on iDesire Galaxy and choose not to download or access any related applications or services from iDesire Galaxy website. When you choose to delete your account, your Personally Identifiable Information will be deleted from our servers. Only the information that is to be retained under applicable law will be stored with us. iDesire Galaxy takes topmost priority and has adequate security measures in place to protect your privacy. We take reasonable steps to identify and authorize you before registering your mobile number and granting you access to iDesire Galaxy services. Prohibited Conduct By using iDesire Galaxy services you agree on the following-

1. You will not use our services for any purpose other than the purchase of new, postpaid, and prepaid SIM or Dongle, MNP, DTH, Broadband and/or access the related services offered by iDesire Galaxy in accordance with the terms and conditions.
2. You will not impersonate any other person or entity, misrepresent an affiliation or provide false claims to a person or entity, or access other accounts without permission, forge another individual’s digital signature, misrepresent the source, identity or content of our services’ information, perform any other fraudulent activity or purchase or recharge SIM, Broadband, Dongle, DTH with potentially fraudulent funds.
3. You will not infringe our and our business partners’ intellectual property rights, rights of publicity or privacy.
4. You will not use our services if you are under 18 years of age without any parental sponsor and under thirteen years of age even with a parental sponsor and in accordance with the applicable law.
5. You will not post or transmit any libelous, defamatory, porn-related or private or personal messages that concern any person, religion, caste, or nation.
6. You will cooperate in investigation and provide confirmation of your identity or any other information when the need arises that you provided to iDesire Galaxy
7. You will not under any circumstances interfere, delete, disable, or modify with the security of our website and our services.
8. You will not reverse engineer, decompile, disassemble or attempt to find out the source code of our services or website or any part thereof, except and only to the extent that such activity is expressly prohibited by applicable law notwithstanding this limitation.
9. You will not damage the operation of our services by any means, including but not limited to uploading or otherwise disseminating harmful malware, viruses, spyware or other malicious codes or files that contaminate and destroy our software.
10. You will not use any bots or other automatic and manual means to monitor, spy or copy the website without prior written permission.
11. You will not interfere or disrupt any networks connected to our website.
12. You will not take any action that unreasonably loads our network and infrastructure.
13. You will not use any means to bypass the website’s robot exclusion headers or attempt to disrupt our services.

20. You will not use the services in any way that may result in legal issues, fines, penalties, disputes or other liabilities to iDesire Galaxy, its business partners or you.
21. You will not use our services in a manner that abuses or violates the payment card system network and rules.
22. You will not perform any action that causes iDesire Galaxy to lose out any services from its business partners, telcos, payment processors and other suppliers.
23. You will not send any automated request of any kind to our system that may/may not harm our system and its services without prior permission from us.

Termination, Agreement Violations You agree that iDesire Galaxy, in its sole discretion, for any reason whatsoever, has the right to suspend or terminate your account (or any part thereof) or your use of services and remove all/part of your account, your profile, or your recipient profile, at any time. iDesire Galaxy has the sole discretion to discontinue providing access to services or any part thereof, at any time, with or without notice. You agree that the termination of our entire/part of services without any prior notice may thereof terminate the access of your services/account/portion and we will not be held responsible for it or be liable to you or any third party. Any suspected fraudulent, illegal or abusive activity may be reported to the appropriate law enforcement authorities. This remedy is in addition to other remedies that iDesire Galaxy may have at law or in equity. Upon termination of your services, for any reason whatsoever, you agree to immediately stop using the services. Limitation of Liability and Damages We or our contractors, business agents, partners, licensors, suppliers will not be liable to you for any special, punitive, reliance, indirect, incidental, consequential, or exemplary damages (including, but not limited to, lost business opportunities/revenues/profits or any other pecuniary or non-pecuniary damage or loss of any nature, whatsoever) arising out of or related to

•  Our services, site or reference sites
•  Your use or inability to use the services, the site (includes all materials), reference sites

 iDesire Galaxy will not be held responsible for any such damages or possibility of damages even if you have received prior advice by us or any of our authorized representative. Under no circumstances will iDesire Galaxy or any of its contractors, directors, employees, agents, third-party partners, suppliers or licensors be totally/partially liable to you or any third party for damages, liabilities, losses, and causes of action that may arise out of or relating to

• Our services, site or reference sites
•  Your use or inability to use the services, the site (includes all materials), reference sites
•  Any other interactions with us however caused.

iDesire Galaxy and our associates will not be responsible for damages whether arising in contract, infringement including negligence, warranty or otherwise, exceed your paid amount, if any, for using our website or our services (part/whole) causing this undesirable or illegal action. You recognize and are in agreement that we have offered services, set the prices, and entered into this agreement in reliance upon the warranty disclaimers and limitations of liability set forth herein, that this reflects a fair and reasonable allocation of risk between iDesire Galaxy and you, and that the warranty disclaimers and limitations of liability set forth herein form an integral part of the bargain between us and you. iDesire Galaxy will not be able to provide economically reasonable services without these limitations. Applicable law may not allow the limitations or exclusions of liability or consequential or incidental damages, so the above may not apply to you. In such cases, iDesire Galaxy will have a limited liability to the fullest extent as permitted by the applicable law. This limitation of liability and damages clause shall survive until the expiration or termination of this agreement.   Indemnification You agree to indemnify, hold and save iDesire Galaxy, our affiliates, employees, directors, partners, agents, contractors, officers, and our third-party partners, suppliers, and licensors harmless from all losses, claims, costs, expenses, damages and liabilities including legal expenses arising out of your use/misuse of our services or the site, any violation of this agreement, any breach of representations, warranties and covenants made by you herein. iDesire Galaxy reserves the right at your expense to assume the exclusive defense and control of any matter for which you are required to indemnify iDesire Galaxy, including the rights and settlement. You agree to cooperate with our defense for settlement of these claims. We will use reasonable efforts to notify you of any action, claim or proceedings brought by a third-party that is subject to the foregoing indemnification as soon as we become aware of it. This indemnification provision shall survive until the termination of this agreement.     Disclaimer, No Warranties To the fullest permissible extent pursuant to applicable law, iDesire Galaxy and its associated partners, suppliers, and licensors disclaim all warranties, statutory, express or implied, including, but not limited to, the implied warranty of merchantability and non-infringement of proprietary rights. Your written or oral information to iDesire Galaxy will not create any warranty not expressly stated herein. You acknowledge that the term iDesire Galaxy includes its officers, employees, directors, agents, affiliated companies and stakeholders. iDesire Galaxy is a reseller of new, postpaid, prepaid SIM, Dongle, Broadband, DTH and is not liable for third-party obligations due to quality, rates or any other instance. You expressly agree to all the risks of using this website and its services at your own risk. But for payment transactions, it shall be deemed accepted by you immediately on a going-forward basis. Any communication to iDesire Galaxy has to be sent by courier or registered mail to iDesire Galaxy Ecommerce Pvt Ltd, No Pl 5, North, Shop Block No 25, S.Y No.33, Pratap Nagar, Limbayat, Surat, Gujarat, India, 394210   Waiver The failure of iDesire Galaxy to exercise or enforce any provision of this agreement will not constitute a waiver of it. Any waiver of any provision of this agreement will be effective only if it is in written form and signed by us.   Arbitration iDesire Galaxy will bind arbitration in accordance with the provisions under the Indian Arbitration & Conciliation Act 1996 to resolve any claims and disputes arising or relating to this agreement or service provided in connection with this agreement. The disputes shall be arbitrated on an individual basis and shall not be consolidated with any other claims or disputes of any other party. The arbitration jurisdiction will be in Surat Gujarat, India and the judgment of the arbitration award may be entered in any court having jurisdiction thereof. We have the right to seek any interim relief from a court of jurisdiction in Surat, India to protect the rights or property of you or iDesire Galaxy, its agents, subcontractors, suppliers, pending the completion of arbitration. The arbitration language will be in English and the results or content of it will be disclosed, if and only if, required by law. The arbitration and its related expenses will be equally divided between you and us. In all arbitrations, each party will bear the expenses of its own preparations and lawyers.    Governing Law and Forum for Disputes You agree that any dispute or claim that you have against iDesire Galaxy must be resolved by a court located in Surat, India. You shall submit to the personal jurisdiction of the Surat courts for litigating any claims or disputes. This agreement shall be governed by Indian laws without giving effect to any principles of law conflicts. Severability If we notice or find any provision of this agreement to be unlawful, void, unenforceable, or invalid, we have the right to limit or eliminate that portion of the agreement to the minimum extent required. The remaining provisions will remain enforced. Assignment You shall not transfer or assign the above agreement and its rights granted hereunder, to any individual or entity, without our prior written consent. It is under iDesire Galaxy’s sole discretion to withhold such attempts and this violation will be treated as null and void. iDesire Galaxy has the right to assign this agreement to any individual or entity without restriction. Survival When this agreement terminates, any provision which, by its nature or express terms should survive, will survive. The provisions may include, but not limited to transfers and relationships prior to the agreement termination. Headings The heading references in this agreement are just used for the purpose of convenience and should not be taken as a part of the Terms and Conditions. These headings, in no way, limit or affect any of the provisions hereof. Entire Agreement This is the entire agreement between iDesire Galaxy and you relating to the subject matter hereof and iDesire Galaxy has the right to change this agreement from time to time, at its sole discretion.
